Terms of Service - ViHi

1. Acceptance of Terms

Welcome to ViHi, an at-home beauty & wellness services marketplace operated by Neosenth India Private Limited ("Company," "we," "us," or "our").

By accessing or using the ViHi platform, website, or mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you should not access or use the Service.

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and may notify users through the platform or email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

Your use of ViHi is also subject to our Privacy Policy.

2. Description of Service

ViHi is a marketplace that connects customers ("Clients") with independent beauty and wellness professionals ("Professionals") for at-home beauty & wellness services, including hair, makeup, nails, spa, skincare, grooming, and bridal services. Service availability is city-based, and ViHi is currently launching in Bengaluru, India.

The platform may provide features such as:

• Public Professional storefronts with standardized, fixed-price service packages
• Shoppable short videos (“Takes”) that showcase a Professional's work and may link a bookable package
• Slot-based booking, where a Client picks a Professional, a package, and a time slot for an at-home appointment
• Payment protection, with funds held in escrow and released to the Professional only when the service is completed
• In-platform discovery and recommendations of nearby Professionals
• Payment facilitation through secure third-party providers

Platform Role

ViHi acts solely as a technology platform that facilitates connections and bookings between Clients and Professionals. ViHi is not the provider of the beauty & wellness services and does not perform them.

Neosenth is not a party to any agreement between users, and we do not guarantee the quality, legality, or completion of services booked through the platform.

Independent Professionals

Professionals using the platform operate as independent contractors. Nothing in these Terms creates an employment, partnership, or agency relationship between Neosenth and any user.

3. User Accounts

3.1 Registration

To access certain features of ViHi, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain and update your information as necessary
• Keep your login credentials secure
• Notify us immediately of any unauthorized use of your account
• Be responsible for activities that occur under your account

3.2 Account Types

ViHi supports different account roles:

• Client Account - for customers booking at-home beauty & wellness services
• Professional Account - for independent beauty & wellness professionals offering services through a public storefront

Users may operate as both a Client and a Professional within the same account.

3.3 Age Requirement

You must be at least 18 years old to create an account or use the Service.

4. User Content, Storefronts, and Takes

4.1 Ownership of Content

You retain ownership of the content you upload to ViHi, including Takes and other videos, images, storefront details, and profile information.

By uploading content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, display, reproduce, distribute, and promote such content for the purposes of operating and improving the platform.

4.2 Content Guidelines

You agree that content you upload will not:

• Contain false or misleading information
• Include sexually explicit or pornographic material
• Promote violence, harassment, discrimination, or hate
• Infringe intellectual property rights of others
• Violate privacy rights of individuals
• Contain malware, viruses, or harmful code
• Include spam or deceptive promotional content
• Impersonate another person or organization

4.3 Content Removal

We reserve the right to remove or restrict any content that violates these Terms or may harm users or the platform. Repeated violations may result in suspension or termination of your account.

5. Platform Intellectual Property

All intellectual property related to the ViHi platform, including but not limited to:

• software
• product design
• user interface
• branding and trademarks
• algorithms and technology

is owned by Neosenth India Private Limited.

Users are granted a limited, non-exclusive, non-transferable license to access and use the platform in accordance with these Terms.

You may not copy, distribute, reverse engineer, or exploit any part of the platform without written permission.

6. Payments and Fees

6.1 Per-Booking Pricing

ViHi operates on a per-booking pricing model. Professionals offer standardized, fixed-price service packages, and the price for a package is shown to you at the time of booking. There are no quotes, bids, or negotiation, and there is no subscription fee to book services on ViHi.

Any applicable booking or platform fees are disclosed at checkout before you confirm a booking.

6.2 Payment Protection & Escrow

Payments are collected at the time of booking and processed through secure third-party payment providers. Your payment is held in escrow with our payment partner and is released to the Professional only after the booked service is completed and confirmed.

Cancellations and refunds are governed by our Refund & Cancellation Policy.

ViHi does not guarantee payment performance or the successful completion of services between users.

6.3 Payment Disputes

If a dispute arises regarding payment for a booking, we encourage Clients and Professionals to attempt to resolve the issue directly.

Because payment is held in escrow until a booking is completed, most issues can be resolved before funds are released. Where necessary, ViHi may assist with mediation or continue to hold funds while a dispute is reviewed, as described in our Refund & Cancellation Policy.

7. User Conduct

When using ViHi, you agree not to:

• Violate any applicable laws or regulations
• Impersonate another person or entity
• Harass, threaten, or abuse other users
• Send spam or unsolicited communications
• Upload malicious software or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with platform functionality
• Scrape, harvest, or collect data from the platform without permission
• Use bots, automation, or scripts to manipulate the platform
• Circumvent platform algorithms or security features
• Create multiple accounts to abuse promotions or services

8. Recommendations and Discovery

ViHi may use automated systems and algorithms to recommend nearby Professionals, packages, and Takes based on your location, profile data, and platform activity.

These recommendations are provided for convenience and do not guarantee outcomes, accuracy, availability, or the quality of any service or booking.

9. Dispute Resolution

9.1 Disputes Between Users

ViHi is not responsible for disputes between Clients and Professionals.

Users are encouraged to resolve disputes directly. In certain cases, our support team may assist in mediation, and refund or cancellation matters are handled in accordance with our Refund & Cancellation Policy.

9.2 Disputes With the Company

Any dispute arising out of these Terms shall first be attempted to be resolved through good faith negotiations.

If unresolved, the dispute shall be settled through arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India).

The seat of arbitration shall be Bangalore, India and proceedings shall be conducted in English.

10. Disclaimers

The Service is provided "as is" and "as available."

To the maximum extent permitted by law, the Company disclaims all warranties, express or implied.

We do not guarantee:

• the quality or accuracy of user content
• the performance, conduct, or reliability of Clients or Professionals
• the quality, safety, or outcome of any service booked through the platform
• uninterrupted or error-free platform operation
• results from automated recommendations or discovery features

11. Limitation of Liability

To the maximum extent permitted by law, Neosenth shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless Neosenth India Private Limited, its directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

• your use of the platform
• your violation of these Terms
• infringement of any third-party rights
• disputes between you and other users

13. Account Suspension and Termination

We may suspend or terminate your account if:

• you violate these Terms
• your activity poses risk to other users or the platform
• required by law or regulatory authorities

Upon termination:

• your access to the platform will cease
• your content may be removed
• outstanding disputes or payments may be held until resolved

Users may also delete their account through account settings.

14. Force Majeure

We are not responsible for delays or failures in service caused by events beyond our reasonable control, including natural disasters, internet outages, or government actions.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

The following provisions shall survive termination of this Agreement:
